Clause
1 Grassroots Community - Youth Community Service
Volunteer Station (hereinafter referred to as “Grassroots
Community”) is a non-profit organization comprises of
consultants, lawyers, teachers and other young professionals
in China. It, mainly for the underprivileged people, organizes
volunteers, provides consultation, promotes the communication
and support organizations in communities to build up a Community
of Hope for the underprivileged people, a Community of Soul
for the volunteers and a Community of Peace for Public Spirit
and thereby advance the harmonious development of the society
emphasizing on people.
Clause
2 Grassroots Community shall abide by the constitution,
laws, regulations and policies of the People's Republic of
China.
Clause
3 Grassroots Community is a non-profit organization
whose assets are endowed by its members, projects and other
social resources.
Article 2 Essence
and Mission
Clause
4 The Essence of Grassroots Community is to promote
the development of communities, the spread of public spirit
and the establishment of a peaceful society.

5 The mission of Grassroots Community is to help
the underprivileged people, assemble volunteers and non-profit
organizations and develop communities by supporting projects
under the Essence, servicing in communities and providing
consultation on environment, law, health and poverty as well
as other services.
Article 3 Activities
Clause
6 The scope of activities of Grassroots Community
includes servicing, consulting and participating in communities
to promote the development of communities, arranging various
activities to attract volunteers, setting up web site to spread
information on community development and so on, which are
run by volunteers under each project, based on residents'
communities, volunteers' activities and Internet to establish
a peaceful society.

7 The activities of Grassroots Community are run
under each project in general. Members could submit application
on related project to Council for its examination and approval.
When it is approved, the Council shall appoint an Executive
Director in charge of this project to organize a group which
shall complete the project and report after its completion.
The Executive Director could take part in the plan, supervision
and coordination of the project. After the completion of each
project, the group of the project shall fill with the Council
complete report on performance of the project.

8 Grassroots Community sets up youth community service
volunteer stations in the communities it has been serving
and deeps its missions thereby.

9 Grassroots Community is active in domestic and
international non-governmental cooperation and is to participate
in the activities for the development of global village as
the case may be.
Clause
10 Grassroots Community supports all the policies,
methods and activities held by China government authorities,
societies and individuals for the continuous development of
communities and will cooperates with them.
Article 4 Membership
Clause
11 All the individuals consenting on the Essence
and Constitution of Grassroots Community and willing to participate
in voluntary activities and exert themselves to realize the
missions of Grassroots Community could submit their oral or
written application to the Council for the membership and
become a member of Grassroots Community upon the approval
of the Council. All the enterprises, non-profit organizations
and societies involved or earnest in community development,
consenting on the Constitution of Grassroots Community, standing
to the Essence of Grassroots Community and supporting and
frequently participating the activities of Grassroots Community
could submit their written application with the recommendation
of one Director to the Council for the membership and become
a member of Grassroots Community upon the approval of the
Council.
Clause
12 The members' rights includes
(i) right to elect, be elected and vote;
(ii) right to participate in the Volunteers' Assembly;
(iii) right to participate in the activities held by Grassroots
Community;
(iv) right to be elected as Director;
(v) right to aware of, suggest on, comment on and supervise
the work of the Council and Directors;
(vi) with the approval of the Council, right to arrange activities
according with the Essence of Grassroots Community within
proper extension under the name of the member and get the
guidance and assistant of Grassroots Community;
(vii) right to have the access to the information and the
opportunity to communicate provided by Grassroots Community;
(viii) right to recommend new members;
(ix) right to withdraw from Grassroots Community.
Clause
13 The members' duties include:
(i) to develop communities and spread the Essence of Grassroots
Community on their own;
(ii) to abide by the Constitution of Grassroots Community;
(iii) to make the payment of Membership Fee according to the
rules;
(iv) to protect the rights and reputation of Grassroots Community,
not to conduct any action harming the reputation of Grassroots
Community or under the name of Grassroots Community without
permission;
(v) to fulfill the voluntary services as promised.
Clause
14 Members have the freedom to withdraw from Grassroots
Community. The Membership of the leaver shall be cancelled
upon the registration by the Executive Council. Anyone who
lapse from the Constitution, conduct any action against the
Essence of Grassroots Community, harming the reputation of
Grassroots Community or breaking laws shall be dismissed upon
the approval of the Council. The detailed procedure of withdrawal
is to be stipulated otherwise.
Clause
15 Community development is a global action promoted
by the United Nation. Grassroots Community invites overseas
individuals earnest in community development to participate
its activities as “Contact Members”, who shall
bear the same duties as those of the members of Grassroots
Community. The activities which Contact Members take part
in shall be decided as the case may be and according to the
related stipulations of Chinese government authorities.
Article 5 Organization
Clause 16 The Volunteers' Assembly is the
supreme authoritative organization of Grassroots Community
exercising its power as follows:
(i) to decide fatal events of Grassroots Community;
(ii) to examine and approve budget and final reports;
(iii) to elect and replace the members of the Council;
(iv) to decide on the dissolution, merge, change in name of
Grassroots Community;
(v) to decide on the amendment of the Constitution.
Clause
17 Volunteers' Assembly shall be held once a year.
When proposed by 30% of all the members or more or by the
Council, interim Volunteers' Assembly could be held. Volunteers'
Assembly shall be convened by the Council by an at least one
week prior written notice to all the members. The resolution
of Volunteers' Assembly is effective only if more than half
of all the members are present.

18 The Council is elected by Volunteers' Assembly
consisted of five to fifty members. The Council is the supreme
executive organization of Grassroots Community in charge of
the decision-making and supervision of all the daily operation
of Grassroots Community. The term of Directors is two years.
Directors may serve another term if elected upon the expiration
of one term.
Clause
19 The Meeting of the Council shall be held once
half year and effective only if half of all the Directors
are present. The resolution of the Council shall be effective
only if half of the Directors present approve. The Meeting
of the Council shall be convened by the Executive Council
by an at least three days notice to all the Directors.

20 The Council could appoint five to nine Executive
Directors to consist the Executive Council in charge of arranging
the decision-making, management and supervision of the daily
work, approving the entrance and withdrawal of members, determining
the dismissal and awards to members, examining and approving
projects, valuing reports on projects and activities, etc.

21 The Executive Council shall work as a group and
be responsible and report to the Council jointly. Each Executive
Director shall be responsible for one or more projects to
organize groups, supervise the running of the projects and
decide the employment of participants.
Clause
22 The Executive Council could appoint a Secretary
General in charge of the daily administration and project
coordination of Grassroots Community. The Secretary General
shall be responsible to the Executive Council. The term of
the Secretary General is one year. The Secretary General may
serve another term if elected upon the expiration of one term.
Clause
23 The Secretary General could, with the approval
of the Executive Council, employ secretaries and assistants
responsible for the administration or, with the approval of
the Council, set up several department and have the department
leader responsible therefor.

24 The Council could retain consultants, if necessary
for the work, to provide consulting on the development of
Grassroots Community and running projects.
Clause
25 Grassroots Community has no sub-community or other
kinds of subsidiaries. Entity Members or entities having quite
a number of members could elect one to contact with the Council.
Such election procedure is stipulated otherwise.
Clause
26 Without the formal written appointment from the
Council, no one or part of the members shall arrange any activities,
raise endowments or set up contact with external organizations
or individuals under the name of Grassroots Community. In
such case, Grassroots Community will not recognize thereon
and shall not be responsible therefor. The legal liability
of those involved shall be investigated if necessary and the
member involved shall be punished by Grassroots Community
as the case may be.

27 The Council could appoint an Executive Director
and a legal consultant to deal with external legal issues.
Article 6 Membership
Fee and other Resources
Clause
28 The rules on the amount and payment of Membership
Fee of Grassroots Community shall be stipulated in detail
by each Council. In addition to the endowment from the members,
Grassroots Community accepts endowment from others.
Clause
29 Grassroots Community accepts supports and endowments
in any forms including cash, service, equipment, book, data,
etc. from public organizations, societies and individuals.

30 Grassroots Community could legally apply for project
support with China government authorities in every level,
foundations and other organizations.
Clause
31 No rewards shall be paid for the services provided
by the members in Grassroots Community which is voluntary.
The allowance on lodge, meal and so forth could be paid as
the case may be. Executive Director shall not be paid for
his/her work as a member but could apply for fees of activities
or projects, which shall be audited and supervised accordingly.
Clause
32 Grassroots Community shall pay rewards to the
Secretary General and other clerks employed according to the
market.
Clause
33 All the collection of Grassroots Community shall
be used to promote its activities in communities development.
Its financial status shall be declared to the members and
sponsors periodically and the accounting books shall be audited
annually and examined by Volunteers' Assembly.
Clause
34 Other detailed rules on finance is stipulated
otherwise.
Article 7 Dissolution
and Termination
Clause
32 Grassroots Community terminates in the case that
it is
(i) terminated by government authorities;
(ii) terminated by the resolution of Volunteers' Assembly.
Clause
33 Grassroots Community dissolves in the case that
(i) it is dissolved by government authorities;
(ii) it is dissolved by the resolution of Volunteers' Assembly;
(iii) the purpose of Grassroots Community has realized.
The procedures to determine the dissolution and termination
is stipulated otherwise.

8 Others
Clause
34 This Constitution comes into force upon the approval
of the Council after consulting for advises of all the members.
The right to interpret the Constitution is granted to the
Council. The amendment to the Constitution shall be made only
when 30% percents of the voluntary members or more or the
Council proposed and become effective only when two thirds
of the members present in Volunteers' Assembly consent.
